NOTICE OF SPECIAL GENERAL MEETING
of
Yachting Queensland Limited
Notice is given to all Members of Yachting Queensland Limited of a Special General Meeting of the company to be held in person or online.
Venue: Australian Sailing Building, 578 Royal Esplanade, Manly Queensland
Time: 6:30pm
Date: 17 June 2025

It was resolved that after filing a Declaration of Solvency with the ASIC, a special general meeting of members be called to present the following resolutions:
4. Special Resolution
THAT the members of Yachting Queensland Limited resolve to:
Wind up the company as a Members' Voluntary Liquidation and that the assets of the company be distributed in accordance with the company's constitution and the provisions of the Corporations Act 2001(Cth).
5. Ordinary Resolutions
THAT the members of Yachting Queensland Limited resolve to:
Confirm that they have received a copy of the Declaration of Solvency (Form 520) and agree with its contents.
THAT the members of Yachting Queensland Limited resolve to:
Appoint Mark Pearce and Michael Dullaway of Pearce & Heers Insolvency Accountants, Level 12, 127 Creek Street, Brisbane, to act as joint and several Liquidators for the purposes of the winding up.
THAT the members of Yachting Queensland Limited resolve to:
The books and records of the company and of the Liquidators be destroyed by the Liquidators after the deregistration of the company in accordance with Section 70-35 of the Insolvency Practice Schedule (Corporations) 2016.”
