NOTICE OF SPECIAL GENERAL MEETING

of Yachting Queensland Limited.

Venue: Australian Sailing Building, 578 Royal Esplanade, Manly, QLD 

Time: 7pm

Date: Tuesday 21^st November.

Please note that the Corporations Act requires that winding up a company can only be made by a Special Resolution. This means that the resolution must be carried by at least a 75% majority.

Special resolutions must also be proposed with not less than 21 days’ notice.

THAT the members of Yachting Queensland Incorporated resolve to:

Voluntarily deregister Yachting Queensland Limited and transfer the Yachting Queensland Limited surplus cash reserves and assets to Australian Sailing Limited as “Queensland Contributed Funds” that are identified in the Australian Sailing Accounts for use in Queensland.

and that if passed, will come into effect after the appropriate notice lodged with ASIC is complete.

5. Ordinary Resolution

The members subject the approval of the above special resolution, agree to the formation of a Regional Advisory Committee for Queensland, as per the rules of the Australian Sailing Limited Constitution, that maintains current levels of regional representation as outlined in the QLD Regional Advisory Charter.
